GOJOBEE SERVICE TERMS AND CONDITIONS These Terms and Conditions (the „Terms”) set out the rules, scope and conditions for using the website available at https://gojobee.com/, operated by the Service Provider, including in particular the technical rules and conditions for the provision of services by electronic means, the rules for publishing job offers, the use of the Recruiter Panel, and the complaints procedure.

§1. DEFINITIONS

Whenever the following capitalised terms are used in these Terms, they shall have the meanings set out below: a) Consumer - a natural person who enters into an agreement with the Service Provider for purposes not directly related to their business or professional activity; for the purposes of these Terms, this definition also includes a so-called quasi-consumer. b) Recruiter Panel - an individual and authorised profile of the Employer, accessible after creating an Account and logging in successfully, through which the Employer gains access to recruitment-related functionalities of the Service, including in particular the ability to add, edit and remove Job Offers, manage recruitment processes, review applications and communicate with Candidates. c) Employer - a User who is an entrepreneur conducting business activity in the field of employing personnel or providing HR services, who uses the Recruiter Panel to publish and manage Job Offers. d) Job Offer - an advertisement for employment or cooperation published in the Service by an Employer and made available to Users. e) Interruption - a temporary suspension of the operation of the Service or any of its functionalities due to technical or maintenance reasons. f) Terms - these Terms and Conditions. g) Service - the website operated by the Service Provider at https://gojobee.com/ h) Force Majeure - circumstances beyond the reasonable control of the Parties, including riots, armed conflicts, natural disasters, infrastructure failures or states of emergency. i) Agreement - an agreement for the provision of services by electronic means concluded between the Service Provider and the User. j) Services - the services specified in these Terms, provided by the Service Provider to Users by electronic means. k) Service Provider - SmartDev Spółka z o.o., with its registered office in Bielsko-Biała, ul. Michała Grażyńskiego 40, 43-300 Bielsko-Biała, Poland, registered under KRS number 0001029959, NIP 5472237485, REGON 524981914. l) User - any entity using the Service in accordance with these Terms. m) Job Search Module - a functionality of the Service enabling Users to search Job Offers based on selected criteria. n) Candidate - a natural person who applies for a Job Offer published by an Employer. All terms defined in these Terms shall have the same meaning throughout the document. Headings are for convenience only.

§2. GENERAL PROVISIONS

1. The owner and administrator of the Service available at https://gojobee.com/ is the Service Provider. 2. The Service Provider’s contact details are as follows: a) correspondence and complaints address: ul. Michała Grażyńskiego 40, 43-300 Bielsko-Biała, Poland; b) contact e-mail address: [email protected]. 3. Use of the Service is voluntary and basic access to the Service is free of charge, provided that certain functionalities or extended services may be subject to fees in accordance with the applicable price list available at www.gojobee.com/price/. 4. These Terms set out the rules for using the Service, including the provision of services by electronic means, the types and scope of Services, technical conditions, rules for publishing Job Offers and the complaints procedure. 5. These Terms constitute terms and conditions for the provision of services by electronic means within the meaning of the Polish Act on the Provision of Services by Electronic Means. The Terms are made available free of charge in a form enabling Users to obtain, reproduce and store them. 6. Before using the Service, the User is obliged to read and comply with these Terms. 7. The Service Provider provides Services and concludes Agreements in Polish and English. 8. Use of the Service, including accessing gojobee.com and using its functionalities, constitutes acceptance of these Terms.

§3. TECHNICAL REQUIREMENTS AND OPERATION OF THE SERVICE

1. In order to use the Service, the following minimum technical requirements must be met: a) a terminal device (computer, tablet or smartphone) with Internet access; b) enabled cookies and JavaScript technologies necessary for the proper operation of recruitment functionalities; c) a current version of an internet browser (e.g. Chrome, Firefox, Safari, Edge) or its mobile version. Due to ongoing improvements, certain functionalities may not operate correctly on outdated browser or operating system versions. 2. To register an Account in the Recruiter Panel, the User must have an active and functioning e-mail account. 3. The Service Provider shall use reasonable endeavours to ensure continuous and uninterrupted availability of the Service. The Service Provider may introduce Interruptions resulting in particular from: a) maintenance of technical infrastructure; b) software updates or upgrades; c) hardware or software failures; d) interruptions or disturbances in the services of Internet service providers; e) unforeseen events, including Force Majeure. 4. Where possible, the Service Provider shall notify Users of planned Interruptions at least 24 hours in advance by publishing a notice in the Service. 5. In exceptional circumstances affecting the security, stability or integrity of the Service (e.g. hacking attacks or critical failures), the Service Provider may immediately restrict or suspend the provision of Services without prior notice.

§4. SERVICES

1. Through the Service, the Service Provider provides the following Services: 2. displaying content published in the Service; 3. enabling Users to create an Account and log in; 4. registration and login to the Recruiter Panel (for Employers); 5. access to recruitment-related functionalities, including: a) publishing Job Offers; b) collecting and reviewing Candidate applications; c) managing recruitment stages and communication with Candidates; d) dusing the Job Search Module; e) viewing statistics, reports and other tools available in the Recruiter Panel. 2. Access to content and functionalities depends on the User’s status (Candidate, Employer or unregistered User). Full access to recruitment functionalities is available only to Employers with an active Recruiter Panel Account. 3. Basic Services are provided free of charge during a trial period from [X] to [X]. After the trial period, Services shall be provided on a paid basis in accordance with the Service Provider’s price list available at [X]. 4. Users may use the Service at any time, subject to §3(3)–(4).

§5. ACCOUNT CREATION AND LOGIN TO THE RECRUITER PANEL

1. Registration in the Recruiter Panel is voluntary and free of charge, but necessary to use Employer-specific Services. 2. To create an Account, the Employer shall: a) provide complete, true and up-to-date data required in the registration form; b) submit required declarations, including acceptance of these Terms and the Privacy Policy; c) click the “Register” button or an equivalent; d) activate the Account via the link sent by e-mail. 3. Login to the Recruiter Panel requires the User’s e-mail address and password. 4. The Employer may delete its Account at any time. Deletion results in: a) permanent removal of Job Offers; b) loss of access to the Recruiter Panel; c) deletion of recruitment-related data in accordance with the Privacy Policy.

§6. NEWSLETTER

1. Users may voluntarily subscribe to the newsletter. 2. The newsletter may contain marketing and commercial information. 3. Subscription requires providing an e-mail address and acceptance of the Privacy Policy. 4. Subscription is free of charge and for an indefinite period. 5. Users may unsubscribe at any time via the unsubscribe link or by e-mail to [email protected]. 6. The newsletter is distributed using Brevo, operated by Brevo, registered under number 498 019 298, with its registered office at 9–17 rue Salneuve, 75017 Paris. 7. Personal data processing rules are set out in the Privacy Policy.

§7. GENERAL RULES FOR THE PROVISION OF SERVICES

1. The Agreement is concluded: a) upon accessing the Service; b) upon Account activation; c) upon successful login. 2. The Agreement terminates upon leaving the Service or deletion of the Account.

§8. LIABILITY

1. The Service Provider shall not be liable for: a) any failure to perform, or improper performance of, the Agreement where such failure or improper performance is caused by Force Majeure; b) any failure to perform, or improper performance of, obligations under the Agreement resulting from any act or omission of the User, in particular where the User uses the Service in a manner contrary to these Terms or to the intended purpose of the Service; c) the consequences of the User providing data that is untrue, incomplete or out of date; content published in the Service by Users; d) any loss or damage arising from the User’s use of the Service in a manner that breaches applicable law or compromises IT/telecommunications security.

§9. RULES OF USE

1. Each User using the Service shall be obliged to comply with the provisions of these Terms and with generally applicable law. 2. It is prohibited to provide, through the Service, any content that is: a) unlawful; b) contrary to good morals or generally accepted standards of social conduct; c) unrelated to the purpose or subject matter of the Service (i.e. recruitment, Job Offers and employment processes); d) infringing the good name, image or personal rights of the Service Provider, other Users, Candidates, Employers or any third party; e) infringing copyright, trade mark rights or any other intellectual property rights; f) misleading, untrue, false, or impersonating another person; g) inconsistent with morality and decency; h) capable of disrupting the proper functioning of the Service. 3. The Service Provider reserves the right to remove from the Service, with immediate effect, any content that infringes the provisions of this section and to prevent Users from accessing such content. 4. The Service Provider shall be entitled to temporarily or permanently block the User’s Account or the User’s access to the Recruiter Panel, and to delete such Account/access with immediate effect, where the User: a) provided, during registration, data that is untrue, incomplete, out of date, or that infringes third-party rights; b) posts or transmits the content referred to in paragraph 2; c) infringes third-party rights, in particular the personal rights of Candidates, Employers or other Users; d) breaches applicable law while using the Service; e) uses the Service or its functionalities in a manner contrary to their intended purpose, in particular by disrupting the operation of the Service or recruitment processes. 5. Any automated extraction of data, content or resources from the Service is prohibited, including through the use of web scraping, web parsing or other technologies intended for mass data collection. 6. The User undertakes not to take any actions that may disrupt the operation of the Service, in particular: a) unauthorised copying, interference with, modification of, or distribution of elements of the Service; b) circumvention of the Service’s technical safeguards; c) installation, transmission or introduction of any malicious software, including viruses, worms, trojans or other software capable of compromising the security of the Service or data; d) taking actions that may lead to unauthorised access to data, other Users’ accounts, or system resources.

§10. RISKS

1. Pursuant to Article 6(1) of the Polish Act on the Provision of Services by Electronic Means, the Service Provider informs that each User of the Service, like any Internet user, is exposed to certain risks associated with using the Internet. The primary risk is the possibility of the User’s device being “infected” with malicious software such as viruses, worms, trojans, ransomware or other programs created to cause damage or to take over data. 2. In order to reduce the risk, the Service Provider recommends that the User: a) uses up-to-date antivirus software; b) uses a firewall; c) regularly updates system software and applications; d) avoids downloading or opening files from unknown sources; e) uses secure, up-to-date versions of internet browsers. 3. The Service Provider also informs that one of the material risks associated with using the Service is the activity of third parties, in particular so-called hackers, seeking to break into IT systems, including attempts to: a) take over Users’ Accounts; b) gain unauthorised access to Candidate or Employer data; c) disrupt or destabilise the Service; d) obtain data through phishing, spoofing or other forms of cyberattacks. 4. The Service Provider applies technical and organisational security measures, including, without limitation, encryption of connections (SSL/TLS), server infrastructure safeguards, monitoring systems and measures protecting against unauthorised access, in order to minimise the risks referred to in paragraphs 1 and 2. However, due to the nature of the Internet and technological progress, the Service Provider is unable to ensure the complete elimination of risks and cannot guarantee the full security of IT systems.

§11. COMPLAINTS

1. The User is entitled to submit a complaint regarding the operation of the Service, in particular where any of the following occur: a) inability to log in to the Account or the Recruiter Panel; b) a malfunction of the Service or any of its functionalities, including recruitment tools; c) technical errors preventing the use of the Service or causing the Service to operate improperly. 2. Complaints may be submitted: a) by e-mail to: [email protected]; b) by post to the Service Provider’s correspondence address indicated in §2(2) of these Terms. 3. A complaint should include: a) the complainant’s full name or the name of the entity submitting the complaint; b) the User’s e-mail address or other contact details; c) a description of the reported irregularity, including the date on which it occurred and, where possible, screenshots or other supporting materials. 4. The Service Provider shall consider complaints within 14 days from the date of their receipt. The response to the complaint shall be provided in the same form in which the complaint was submitted, unless the User indicates another preferred method of contact.

§12. OUT-OF-COURT DISPUTE RESOLUTION

1. Information concerning out-of-court methods of handling complaints and pursuing claims by Consumers is available at the offices and on the websites of locally competent consumer ombudsmen, social organisations dealing with consumer protection, the Regional Inspectorates of the Trade Inspection Authority, as well as on the website of the Polish Office of Competition and Consumer Protection (UOKiK): https://uokik.gov.pl. 2. After exhausting the complaints procedure described in §11, the Consumer is entitled to use, inter alia, the following out-of-court dispute resolution methods: a) applying to the Regional Inspector of the Trade Inspection Authority to initiate mediation proceedings in order to amicably resolve a dispute between the Consumer and the Service Provider; b) applying to a permanent consumer arbitration court operating at the Trade Inspection Authority; c) obtaining free assistance from a municipal or district consumer ombudsman or from social organisations dealing with consumer protection (including the Consumers’ Federation and the Polish Consumers’ Association). A list of entities authorised to conduct proceedings concerning out-of-court resolution of consumer disputes is available on the UOKiK website: https://uokik.gov.pl. 4. In cross-border disputes, the Consumer may obtain assistance via the European Consumer Centre (ECC): https://konsument.gov.pl. 5. Use of out-of-court dispute resolution methods is voluntary and is possible only where both the Consumer and the Service Provider consent.

§13. PERSONAL DATA

1. The Service Provider is the controller of the personal data of Users and Candidates processed via the Service. 2. Detailed information concerning the rules, scope and purposes of personal data processing, Users’ rights and data security principles is set out in the Privacy Policy available at: https://gojobee.com/polityka-prywatnosci.

§14. COPYRIGHT

1. All content, visual and technical elements and materials made available in the Service are protected under copyright law and other laws relating to the protection of intellectual property. 2. The Service Provider holds the copyright in the Service, including, without limitation, the software, system structure, functional layout, graphic elements, databases, content, HTML/CSS/JavaScript source code, recruitment tools and any other technical components. Such protection also covers any materials, documents, educational content, instructions, graphics and other works made available to Users in connection with the provision of Services. 3. Making materials, tools or content available to the User as part of the use of the Service does not constitute any transfer of copyright or grant of any licence, unless expressly stated otherwise in a written statement of the Service Provider. 4. It is prohibited to copy, modify, translate, distribute, make publicly available, sell or otherwise use in any manner any materials, data, tools or elements of the Service without the Service Provider’s express prior written consent. 5. In particular, it is prohibited to: a) download or harvest data from the Service on a mass scale (e.g. Job Offers, Candidate data, descriptions, materials); b) use the data, content or elements of the Service in other websites, recruitment platforms, applications or systems; c) use scraping, crawling or automated data collection tools; d) take actions that infringe the Service Provider’s economic interests or may cause damage to the Service. 6. Any use of elements of the Service in breach of this section may result in civil and criminal liability under the provisions of the Polish Act on Copyright and Related Rights.

§15. AMENDMENTS

1. These Terms may be amended for valid reasons, in particular in the event of: a) changes in applicable law directly affecting the content of these Terms or requiring the Service Provider to adapt its operations; b) introduction of new functionalities, tools or services within the Gojobee Service, or changes to the services offered to date - to the extent such changes affect the rules described in these Terms; c) changes to the Service Provider’s details, including address details, name, legal form, e-mail address or telephone number; d) issuance of decisions, recommendations, interpretations or rulings by competent public authorities which have or may have an impact on the content of these Terms or the operation of the Service; e) Force Majeure events affecting the performance of the Service Provider’s obligations. 2. The Service Provider shall inform Users of each amendment to these Terms by publishing an appropriate notice in the Service and by sending a notification to the e-mail address of Users who hold an active Account in the Recruiter Panel. 3. Amendments shall enter into force after 14 days from the date on which Users are informed of their introduction, unless the notice specifies another date, which may not be shorter than 14 days. 4. A User who does not accept the amendments is entitled to terminate the Agreement relating to the use of the Recruiter Panel Account within 14 days from being informed of the amendments. Termination shall result in immediate deletion of the Account and cessation of the provision of Services to the User.

§16. FINAL PROVISIONS

1. In matters not regulated by these Terms, generally applicable provisions of Polish law shall apply, in particular: a) the Polish Civil Code; b) the Polish Act on the Provision of Services by Electronic Means; c) the Polish Consumer Rights Act; d) personal data protection laws, including the GDPR. 2. Disputes arising out of these Terms or Agreements concluded on their basis between the User and the Service Provider shall be resolved by the court of general jurisdiction having local jurisdiction over the Service Provider’s registered office, subject to paragraph 4. 3. If any provision of these Terms is held by a competent authority or court to be invalid or ineffective, the remaining provisions shall remain in force and shall bind the Parties. 4. Paragraphs 2 and 3 shall not apply to Consumers where mandatory provisions of law provide for jurisdiction based on the Consumer’s place of residence or other special rules. 5. These Terms shall enter into force on [●] and shall remain in effect until amended or repealed.
